Owner hereby grants to Sharp Entertainment, LLC and WE tv LLC, and their respective employees, agents,
contractors and suppliers (collectively, "Producer") and their respective parents, affiliates, subsidiaries, licensees,
successors and assigns, for good and valuable consideration, receipt of which is hereby acknowledged, permission
to enter upon and use the property and the contents thereof and the appurtenances thereto located at
___________________________________________(the "Property") for the purpose of photographing, filming and
recording certain scenes in connection with a television program tentatively titled “Love During Lockup” (the
"Program") during production thereof, and as necessary during any extension, reshooting or preparation of publicity
or promotion therefore, including the right to exhibit, telecast, broadcast and otherwise exploit the photographs, film,
and recordings of the Property. All physical embodiments of filming, recording and photography on the Property shall
hereinafter be known as the "Materials". It is understood and agreed that Producer shall be permitted access to the
Property in connection herewith from the date hereof until all scenes requiring the Property have been completed (the
"Term"). With Owner approval, Producer shall have the right to reenter upon the Property after expiration of the Term
for additional filming as may be necessary on dates to be mutually agreed upon by the parties. Producer may place
all necessary facilities and equipment on the Property and agree to remove same after completion of work and leave
the property in as good of condition as when received, with the exception of normal wear and tear.

Producer will use reasonable care to prevent damage to said Property, and will indemnify the Owner, and all other
parties lawfully in possession, of said Property, and hold each of them harmless from any claims and demands of any
person or persons arising out of or based upon personal injuries, death or property damage suffered by such person
or persons resulting directly from any act of gross negligence on Producer's part in connection with Producer's use of
the Property. Producer shall not be responsible for any damage or injury caused by the negligent or misconduct of
Owner or Owner's employees or agents. Any claim by Owner that Producer is responsible for any damage or injury
must be made by written notice (setting forth the particulars of such claim(s)) to Producer within ten (10) days after
expiration of the Term, or such claim(s), if any, shall be waived.

Producer shall have the right to photograph, record and depict the Property, accurately or otherwise, as Producer
may choose, using the actual or fictional name and/or trademark and identifying features thereof, including any and
all furnishings, works of art and other objects located in or around the Property, and the tradenames, trademarks,
copyrights and logos of Owner (collectively, "Owner Marks") in any manner by any method and in any and all media,
whether now known or hereinafter devised, anywhere in the universe at any time and nothing in this contract limits
the ability of Producer to use any of the foregoing in any manner otherwise permitted by law. Owner grants to Producer
all rights of every kind in and to the Materials including without limitation the right to exploit the Materials throughout
the world, an unlimited number of times, in perpetuity in any and all media, now known or hereafter invented, in and
in connection with the Program or otherwise and for advertising and promotional purposes in connection therewith
and all rights, including copyright in the Materials shall be and remain vested in Producer, and neither the Owner, nor
any tenant, nor other party now or hereafter having an interest in the Property, shall have any right of action against
Producer or any other party arising out of any use of said Materials whether or not such use is, or may be claimed to
be, defamatory, untrue or censorable in nature.
Owner acknowledges that Producer is photographing and recording such scenes in express reliance upon the
foregoing. Owner represents and warrants that the undersigned has all rights and authority to enter into this
agreement and to grant the rights granted hereunder.

Producer is not obligated to actually use the Property or produce the Program or include the Materials in the
Program for which it was shot or otherwise. Producer may at any time elect not to use the Property by giving the
Owner written

notice of such election, in which case, neither party shall have any obligation hereunder.

This agreement and all matters or issues collateral thereto shall be governed by the internal, substantive laws of New
York without regard to the conflicts of law provisions thereof. In any action by Owner for breach of any provision
hereunder, Owner agrees that its exclusive remedy shall be an action at law for damages and in no event shall Owner
seek or otherwise be entitled to injunctive or any other equitable relief. This agreement contains the parties' entire
understanding relative to its subject matter. Nothing in this agreement shall limit or restrict any rights otherwise
enjoyed by Producer under law or contract.

This is the entire agreement. No other authorization is necessary to enable Producer to use the Property for the
purpose herein contemplated.

If agent signs on Owner's behalf please complete the following:

I, _______________________, warrant and represent that I am the authorized agent and representative of the
above named Owner of the Property, and I have been expressly empowered and authorized by Owner to license
Producer to use the Property and grant to Producer all the rights granted to Producer under this Agreement, and I
have, by my signature above, bound the Owner to the terms, provisions, covenants, and conditions of this
Agreement.
