Chennai Metro Rail Project ~ Phase 2 Part-V Bid No. XXX ‘Schedule - 5: Chapter-1 (O&M Contractor’s Scope of Work SCHEDULE - 5 CHAPTER - 1 O&M Contractor’s Scope of Work Page 405 of 617 Chennai Metro Rail Project ~ Phase 2 Part-V Bid No. XXX 1a OBJECTIVE ‘Schedule ~ 5: Chapter-1 (O&M Contractor’s Scope of Work SCHEDULE - 5 CHAPTER - 1 O&M Contractor’s Scope of Work Introduction Schedule 5 (0&M Contractor Scope of Work) sets out the scope of work to be performed by O&M Contractor from the Commencement Date through out the Term of this O&M Contract (including the extended Term if any). O&M Contractor at all times shall work in complete coordination and collaboration with Employer and the General Consultants (GC | & GC I), in such a manner that the customers of the Chennai Metro Rail System experience a Metro Rail System that consistently achieves world class levels of safety, customer satisfaction, operational and maintenance service efficiency and effectiveness in a fully secured environment. Standard of O&M Services O&M Contractor shall provide the O&M Services in accordance with: (i) ) (iii) (iv) ™) (vi) (vii) (wil) a) b) d 4) ‘Al policies, procedures & guidelines issued from time to time by the central & state governments. The services are to be provided in consonance with vision mission, core values, policies & guidelines issued with regard to environment, energy & water conservation, waste management. all Applicable Laws and Rules, all the statutory approvals, permissions and sanctions by O&M Contractor and Employer the service performance requirements set out in this O&M Contract (Part V), so as to achieve or exceed all of the required KPI levels set out in Schedule 7 of this O&M Contract (Part V); all applicable standards and codes set out in this O&M Contract (Part V}; the Safety Manual, the Operation Manual, the Maintenance Plan and the Execution Plans prepared in accordance with O&M Contract (Part V); the conditions and operating and maintenance restrictions applicable to warranties provided under the Metro Systems Contracts; the HSQE guidelines; the insurance policies referred in the O&M Contract and Good Industry Practice, Build professional team capable of performing all the O&M deliverables in terms of this O&M Contract & in good industry practices. Create a well-defined revenue model with identifiable parameters and innovative where ever required to enhance the revenues. To ensure that Metro trains are operated & maintained at least cost without Page 406 of 617 Chennai Metro Rail Project ~ Phase 2 Part-V Bid No. XXX ‘Schedule - 5: Chapter-1 (O&M Contractor’s Scope of Work compromising on safety and comfort of passengers. (ix) Train Employer's staff in critical operations area to facilitate smooth operations in the absence of O&M Contractors’ staff as these apply to the provision of the O&M Pre COD-Services and the Post COD Services. 1.2 O&M Responsil y in brief Various roles and responsibilities are detailed in different Chapters of this Schedule 5. Nonetheless, for the brevity’s sake both Pre and Post COD roles and responsibilities are described hereunder: (i) Pre-COD -Stage 1 after the receipt of Notice to Proceed, O&M Contractor shall preparation of all the Plans and Manuals and get the same approved from the Employer. O&M Contractor shall conduct for the Testing and Commissioning of all the Metro systems in close coordination with the GC and Employer, O&M Contractor shall conducting empty trial runs, preparation of all the documents for sanction of CMRS, and operation of Stage 1 once the CRS sanction is received. (ii) For all other Stages repeat of the activities in (i) above with the difference that in other Stage Plan and Manuals will be revised and updated and got approved by the Employer. While undertaking the Pre-COD Services from Stage 2 onwards in parallel O&M Contractor shall also be responsible for the Operation and Maintenance of the Stages already having achieved COD, (iii) Post COD: After achieving the COD of Stage 1 and other stages thereafter O&M Contractor shall take over the complete responsibility of Train Operation, operations and management of the Stations, OCC and Poonamallee Depot. (iv) Once the COD for all the Stages has been achieved, managing the operations of the entire Project. (v) Maintenance of all the Metro Systems from the day their maintenance becomes due. Other than the Excluded Maintenance, the responsibility of O&M Contractor to maintain the Metro Systems shall be absolute. The Metro Systems to be maintained shall include but not be limited to tracks, traction, rolling stock, M&€E, Signaling and Telecommunications, PSD and all other Metro Systems not specifically mentioned here. (vi) While the Metro Systems during DLP, AMC and CAMC are provided in the Excluded Maintenance, O&M Contractor shall critically review the terms of DLP, AMC and CAMC and all the areas of maintenance not specifically covered in the same shall be the responsibility of O&M Contractor. (vii) While civil structures (elevated, underground, stations and depots) are part of the Excluded Maintenance, the normal wear and tear and routine maintenance of the structures shall be the responsibility of O&M Contractor. (vii) Conducting Customer Satisfaction Survey as mandated in Schedule 7 of the O&M Contract. (ix) Ensuring the safety and security on the Project including the Site, Stations, Depot, Metro Rail Systems handed over to the O&M Contractor. (x) Inthe event that the operation and maintenance on the Project is affected or is likely tobe affected by a strike, siow-down or other labor disturbances in which the Contractor's Staff or the Subcontractor personnel participate, O&M Contractor shall promptly inform Employer's Representative so that Employer can use its reasonable endeavors to seek a Central Government order prohibiting such strikes, slow-down or other labor disturbances under the provisions of the Essential Services Maintenance Act, 1981. The O&M contractor will be responsible only for supervision of the OEM contract during this DLP + CAMC period + Within the currency of this O&M contract, beyond the DLP plus CAMC period for TVS and VAC, the O&M contractor will be responsible for all O&M activities related to the TVS and VAC system 10. Post completion of the DLP, AMC or CAMC duration of Metro Systems as mentioned in table above, the complete responsibility of the Metro Systems maintenance will fall to O&M Contractor. For detailed scope of work, O&M Contractor shall refer to the respective Metro System Contracts Documents provided in the Data Room. 2. PROJECT EXECUTION PLANS 2.1 O&M Contractor shall be required to prepare Final Project Execution Plans (PEPs) for the Pre-COD and the Post- COD Periods that following the PEPs (but not limited to) submitted by the Selected Bidder in its Bid, The final PEPs shall be the operating guide and the master documents that captures all the roles, responsibilities, requirements and obligations of O&M Contractor under the terms of this O&M Contract. The PEPs shall be a moving document that shall be revised, refined and updated for the duration of the Pre-COD Six Relevant Stages (Stage 1A, Stage 1B, Stage 1C, Stage 2, Stage 3, Stage 4, Stage 5 and Stage 6 or any further interim or additional Stage (s) of Phase II) (Stages) and Post-COD and it will be subject to periodic review and agreement with Employer and GCs 2.2. These PEPs must include as a minimum (2) Pre-COD Period of each Relevant Stage + Approach to mobilisation and training of O&M Contractor Personnel ‘+ Grant chart or higher level granular specific activity and timeline wise for each Page 410 of 617 Chennai Metro Rail Project ~ Phase 2 Part-V Bid No. XXX ‘Schedule - 5: Chapter-1 (O&M Contractor’s Scope of Work Relevant Stage + High level and operational organisational structure for each Pre-COD Period ‘© Plans for IT and Logistics + Approach to establishing the Asset Register for the infrastructure, Metro Rail Systems, vehicles, tools and equipment supplied by Employer and by O&M. Contractor ‘+ Strategy for bringing into operations the Poonamallee Depot + Approach to due diligence during the Pre-COD Period, and approach to interfacing with Employer, the GC and Metro System Contractors and other contractor. ‘+ Process for the development, iteration, authorisation and implementation of the following plans 1) Safety Manual 2) Operations Manual 3) Maintenance Plan 4) Quality plan 5) Emergency Plans 6) Incident Management Plans 7), Disaster Management Plans 8) Waste Management Plans 9) HSQE Plans ‘* Approach for Testing and Commissioning * Approach for Trial Operations + Approach to Safety Case and O&M Contractor Consents + Approach to Energy and Water Conservation ‘+ Any other activity or plan required (b) _Post-COD Period of each Relevant Stage (O&M Contractor is expected to carry forward all elements of the PEP prepared for the Pre-COD Periods as listed above, into the respective Post-COD Period PEP. The following plans will be developed to finality and submitted for approval: + Operation Manual + Maintenance Pian + O&M Staffing Plan and Schedule ‘+ Health Safety Quality Environment (HSQE) Plans and Systems Plan + Emergency and Security Plans + Disruption Management Plan + Special Events Management Plan ‘+ Any other plan specifically advised by Employer and GCs between the Effective Date and Commencement Date 2.3 The contents of Schedule 5 (O&M Contractor Scope of Work) provide the detail that complements Page 411 of 617 Chennai Metro Rail Project ~ Phase 2 Part-V Bid No. XXX ‘Schedule - 5: Chapter-1 32 al 42 43 4A 4s (O&M Contractor’s Scope of Work the Pre-COD Period and Post-COD Period Project Execution Plans (PEPs). The link between Schedule 5 (O&M Contractor Scope of Work) and the PEPs are identified within the specifics for Stage 1A, Stage 1B, Stage 1C, Stage 2, Stage 3, Stage 4, Stage 5 and Stage 6 or any further interim or additional Stage (s) of Phase II for both the Pre-COD and/or Post-COD Periods. ORGANISATION ‘The organization of this Schedule 5 (O&M Contractor Scope of Work) is such that the scope of work that O&M Contractor is expected to undertake is aligned with, in the first instance, the Pre-COD Period and in the second in the Post-COD Period of all the relevant Stages identified now or added later. Where the scope of work is common to different Stages, this is identified within the preamble to the Pre-COD Period of each Relevant Stage. Any variation to the common approach is identified within the specifics different Stages either for Pre-COD or Post-COD Periods. IMPORTANT CONSIDERATIONS All documents and reports prepared by O&M Contractor must be submitted to Employer for approval in the English language, and in accordance with Clause 19.1. Employer reserves the right to reject any document or report submitted by O&M Contractor. Employer also reserves the right to reject any alternative arrangements to any standards and technical requirements proposed by O&M Contractor at its own discretion. Employer will provide a space 3000 sq. ft fit to work at no cost to O&M Contractor to assist in the coordination and delivery of the Pre-COD Periods and the Post-COD Periods. Upkeep, extra fitment required including work systems required if any and maintaining the space will be the responsibility of O&M Contractor at his cost. 0&M Contractor will maintain 2 separate inventory of materials and resources it has procured and maintained in association with the one provided by Employer such as computer workstations, laptops, and communication devices. Employer shall not unnecessarily interfere with the internal working of O&M Contractor but shall be entitled at all times though not obligated to audit the inventory at its discretion. ‘The cost of water charges, telecommunication, and electricity and payment of other charges for the office space during the O&M Contract will be the responsibility of O&M Contractor. CONSENTS A list of O&M Contractor Consents is outlined below. Wherever, obtaining a Consent is the responsibility of O&M Contractor, feasibly Employer shall provide assistance to O&M Contractor. In the case of required Employer's Consents, O&M Contractor shall have the secondary responsibility to assist Employer This list of O&M Contractor Consents is only an indicative list of O&M Contractor Consents required to be obtained by O&M Contractor in its name for the performance of O&M Contractor's obligations under this O&M Contract. O&M Contractor is required to conduct its own due diligence regarding O&M Contractor Consents that it is required to obtain in accordance with Applicable Laws and Rules and to obtain such O&M Contractor Consents. Further, O&M Contractor shall obtain all necessary renewals of Employer Consents accordance with Clause 11.4(b). 6. COMMON AND SPECIFIC ACTIVITIES ‘table of common and specific activities to be undertaken by O&M Contractor is provided below. ‘Acommon activity is one that is required to be undertaken once for all the eight Stages and Phase of the Metro Rail System. A specific activity is one that is associated with a single Relevant Stage, process or document.
