VENDING MACHINE OPERATOR AND BUSINESS OWNER AGREEMENT

This Agreement (the "Agreement") is made and entered into on [date] (the "Effective Date"), by
and between [Vendor Name] ("Vendor"), and [Location Name] ("Location").

Vending Machine Placement. Location hereby agrees to provide space for one Vending
machine free of conflict with similar or same equipment.

1. Property Ownership. The vending machines are and shall remain the sole property of
the Vendor and therefore Vendor agrees to maintain and service equipment as required,
unless otherwise agreed to by both parties. The location will provide electricity from one
standard 115-volt outlet as required to power the vending machine.

2. Maintenance and Care. Location agrees to use all reasonable efforts to protect
equipment while it is on the provided space and to notify the Vendor of any theft, abuse,
or any other damages.

3. Additional Vending Machines. Location will not install any additional vending machines
without first consulting with the Vendor to see if they can meet the desired service.

4. Business Closure or Move. In the event of business closure or move, Location will inform
Vendor at least 14 days prior to close of the location.

5. Improving Vending Service. In the event that the Vendor is not meeting the basic needs
of the vending service for the Location, the Location will first formally request the Vendor
to improve its services prior to finding a replacement vendor.

6. Indemnification. Location will hold harmless the Vendor for any and all errors of omission
resulting in damage to the property where the vending machine is placed or harm to the
customers who use the machine.

7. Entire Agreement. This Agreement constitutes the entire agreement between the parties
and supersedes all prior or contemporaneous negotiations, understandings, and
agreements, whether oral or written, between the parties.

8. Governing Law. This Agreement shall be governed by and construed in accordance with
the laws of the state of [state] without giving effect to any choice or conflict of law
provision or rule.

9. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the
parties and their respective heirs, executors, administrators, successors, and assigns.
10. Counterparts. This Agreement may be executed in counterparts, each of which shall be
deemed an original, but all of which together shall constitute one and the same
instrument.
