Code of Conduct

Purpose:

The Employee Code of Conduct outlines standards of personal and professional conduct that all
employees must strive to always uphold and behave in an ethical and professional manner. The Code
provides a basis for all employees to maintain a working environment that is productive, positive,
enjoyable, safe, and free from harassment and discrimination. They must abide by the policies and
procedures that govern the conduct of the Company’s business. Their responsibilities include helping to
create and maintain a culture of high ethical standards and commitment to compliance, and to maintain a
work environment that encourages the stakeholders to raise concerns to the attention of the
management.

Scope

The Employee Code of Conduct provides clear guidelines and standards for the appropriate behaviour
expected of Infinite employees.

Process

This Code of Conduct provides a framework for appropriate behavior of all Infinite employees. This code
is intended to provide guidance and help in recognizing and dealing with ethical issues, provide
mechanisms to report unethical conduct, and to help foster a culture of honesty and accountability.
1.1 Personal conduct
All employees must follow Infinite's Business Conduct Guidelines and exercise good judgment in all
decisions and actions. If Inf inite’s management finds that an employee’s conduct on o r off the job
adversely affects the Infinite's legitimate business interests, the employee will be subject to disciplinary
measures, up to and including dismissal.
1.2 Work Environment
Inf inite strives to maintain a healthy, safe, and productive work environment free from discrimination or
harassment based on race, color, religion, gender, gender identity or expression, sexual orientation,
national origin, disability, age, or other factors unrelated to Infinite's legitimate business interests. Infinite
will not tolerate sexual advances, actions, comments, racial or religious slurs, jokes or any other
comments / conduct in the workplace that creates, encourages, or permits an offensive, intimidating, or
inappropriate work environment.
Employees who are f ound to have engaged in harassment or discrimination, or to have misused their
positions of authority in this regard, will be subject to disciplinary measures including dismissal. Other
conduct that is prohibited because of its adverse impact on the work environment includes threats, violent
behavior, possession of weapons of any type, use of recording devices, including video phones and web
cameras, for other than management approved purposes and the use, distribution, sale or possession of
illegal drugs or any other controlled substance, except for approved medical purposes. In addition,
employees should not be on Inf inite’s premises or in the Inf inite work environment if they are under the
inf luence of or affected by illegal drugs, controlled substances used for non-medical purposes or alcoholic

beverages. Consumption of alcoholic beverages on Inf inite’s premises is only permitted, with prior
management approval, for company-sponsored events.
1.3 Equal Opportunity Employer
Inf inite believes in being an equal opportunity employer. At Infinite all prospective employees, current
employees and ex-employees are treated in the same manner without any prejudice irrespective of their
gender, culture, and geographical location. Inf inite doesn’t discriminate against any employee or job
applicant because of race, color, religion, national origin, sex, physical or mental disability, or age.
1.4 Protecting Infinite’s Assets
Inf inite has a variety of assets, all great value to Inf inite's competitiveness and success as a business.
This includes physical assets and our extremely valuable proprietary information, such as Inf inite's
conf idential information. Protecting all these assets is critical. Their loss, theft or misuse jeopardizes the
f uture of Infinite.
1.4.1 Physical Assets:
• Inf inite’s physical assets, such as equipment, systems, facilities, corporate charge cards and
supplies, must be used only for conducting Inf inite's business or for purposes authorized by
management.
• Inf inite's information and communication systems, including Inf inite's connections to the Internet,
are vital to Infinite's business, which should be only used for appropriate purposes such as for
conducting Inf inite's business or for other incidental purposes authorized by management or by
applicable Inf inite guidelines
1.4.2 Proprietary Information:
• Inf inite’s proprietary information is any information that is owned by Infinite, including information
in Inf inite’s database, which may be subject to copyright, patent or other intellectual property or
legal rights.
• It is critical that employees do not disclose or distribute the information except as authorized by
Inf inite and follow all Infinite safeguards for protecting information.
1.4.3 Intellectual Property Rights:
• All employees on joining assign to Inf inite; the right, title, and interest in intellectual property
developed by them in certain capacities, such as a managerial, technical, product planning,
programming, scientific or other professional capacity.
• No matter where or when - at work or after hours, if intellectual property is created then it must be
reported to Inf inite, and the property must be protected like any other proprietary informat ion of
the company.
1.5 Conducting Infinite’s Business
Employees must be ethical and lawful in all business dealings whether selling, buying, or representing
Inf inite in any capacity.
1.5.1 Avoiding Misinterpretation
Employees must never make misrepresentations or dishonest statements to anyone. If an employee
believes that the other person may have misunderstood, promptly correct any misunderstanding.

1.5.2 Dealing with Suppliers
• Employees must not exert or attempt to exert influence to obtain "special treatment" for a
particular supplier.
• Inf inite uses a competitive evaluation process to select the best suppliers. Prices and other
inf ormation submitted by suppliers and Infinite's evaluation of that information are confidential to
Inf inite. Employees and former employees shall not use any of this information outside of Infinite
without written permission from management.
1.5.3 Avoiding Reciprocal Dealing
Seeking reciprocity is contrary to Infinite’s policy and may also be unlawful. Employees should not tell a
prospective supplier that the decision to buy its goods or services is conditioned on the supplier's
agreement to buy Inf inite's services.
1.5.4 Competing in the Field
Inf inite will compete vigorously for business, but ethically and lawfully. If circumstances require modified
pricing or service terms, the modifications must be specifically approved by the appropriate level of
management. Employees must never extend any modified service or contract terms to a client without
prior authorization.
1.5.5 Avoiding False and Misleading Statements about Competitors
It is Inf inite's policy to sell services on their merits. Employees must be sure that all comparisons to
competitors and their products and services are substantiated, and that they are complete, accurate and
not misleading whenever they are made.
1.5.6 Complementary Third Parties
If employees’ responsibilities bring them to contact with third parties, they must follow the applicable
sales, marketing and services guidelines that describe the appropriate conduct for dealing with them. In
addition to their complementary offerings, some of these third parties market products or services that
compete with Infinite. When such a situation arises, employees must exercise caution and follow
established guidelines for dealing with competitors.
1.5.7 Business Contacts with Competitors
While dealing with a competitor, it is acceptable that contacts include sales to other companies in our
industry and purchases from them; approved participation in joint bids; and attendance at business
shows, standards organizations, and trade associations. But even these contacts require caution.
1.5.8 Bribes, Gifts and Entertainment and Corruption
Gif ts offered by employees of different companies vary widely. They can range f rom widely distributed
advertising novelties of nominal value, which may be given or accepted, to bribes, which employees
unquestionably may not give or accept. Gifts include not only material goods, but also services,
promotional premiums, and discounts.
• Bribe: A bribe is an inducement, payment, reward, or advantage offered, promised, or provided
to any person to gain any commercial, contractual, regulatory, or personal advantage. It is illegal
to offer a bribe directly or indirectly or receive a bribe. It is also a separate offence to bribe a
government/ public official. “Government/ public official” includes officials, whether elected or
appointed, who hold a legislative, administrative, or judicial position of any kind in a country or
territory. A bribe may be anything of value and not just money -- gifts, inside information, sexual
or other f avors, corporate hospitality, or entertainment, offering employment to a relative,
payment or reimbursement of travel expenses, charitable donation or social contribution, abuse
of function and can pass directly or through a third party

• Corruption: Corruption includes wrongdoing on the part of an authority or those in power
through means that are illegitimate, immoral, or incompatible with ethical standards. Corruption
Adit of ten results from patronage and is associated with bribery.
1.5.9 Receiving Gifts
Neither employees nor any member of the family may solicit or accept from a supplier or client money or
a gif t that could influence or could reasonably give the appearance of influencing Infinite's business
relationship with that supplier or client
1.5.10 Competition
Inf inite will not enter into agreements with other companies, including their distributors and remarketers,
however inf ormally, that unreasonably restrict the functioning of the competitive system, such as price
f ixing or dividing clients or territories.
1.5.11 The Environment
Inf inite is committed to worldwide leadership in environmental protection. Not only will Inf inite comply
with all environmental laws, but if there is no law or if the law does not protect the environment, we will
set and adhere to stringent standards of our own. All employees must comply with environmental laws
and Inf inite's environmental policies.
1.6 Conflicts of Interest
An employee of Infinite both on and off the job should not engage in activities which hurt Inf inite’s
interests
1.6.1 Assisting a competitor
An obvious conflict of interest is providing assistance to an organization that markets services in
competition with Infinite's current or potential service offerings. Employees should not, without Inf inite's
consent, work for such an organization in any capacity, such as an employee, a consultant or as a
member of its board of directors
1.6.2 Competing Against Infinite
Employees may not commercially market products or services in competition with Inf inite's current or
potential product offerings.
1.6.3 Personal Financial Interests
Employees should not have a financial interest in any organization that Infinite does business with or
competes with if that interest would give or would appear to give a conflict of interest with Inf inite. Such
organizations include suppliers, competitors, clients, distributors, and alliance companies. For more
details, please refer to the Business Conduct Guidelines.
