Course The course is designed to provide students with an understanding of


Description legal and ethical issues in business. With a focus in local context, the
course includes laws relating to the formation of contracts, remedies
in breach of contract and types of contracts, employment and labor
laws, industrial laws and laws related to corporate formation and its
governance. The ethical issues confronting the management in local
and global context will be discussed through case analysis.
Course  Understand the basic concepts & theories of law and ethics
Contents associated with business arena in relation to practical life.
 Gain an enhanced understanding of legal rules and ethical
constraints in the context business.
 Demonstrate, acknowledge and understanding of various
principles involved in the formation of a contract.
 Understand the remedies for actions of breach of contract and
misrepresentation, the effects, and remedies where contracts
are void and terminated for other reasons.
 Describe the legal issues surrounding Sale of Goods.
 Evaluate Companies Act 1994 and Partnership Act 1932.
 Evaluate dishonor of Cheques under the amended Negotiable

Instruments Act, 1881.
 Management of companies
 Shareholders' duties and insider dealings
 Company credit and security arrangements; and
 Winding up process of corporations.
 Partnership laws
 Evaluate labor laws in Bangladesh.
 Identify issues in a problem and extract, and then apply the
relevant legal principles to them.
 Recognize where principles are unclear and suggest possible
solutions
Student On completion of this course, learners will be able to—

2. Develop an understanding of the Bangladesh legal system
along with judicial administration and the influence of the legal
system in doing business.
3. Understand the process of incorporating, running, and winding-
up a company in Bangladesh – as well as the advantages and
disadvantages of different types of companies
4. Know the basics of forming a valid contract and differentiate
between the remedies for a breach of contract
5. Become familiar with legislation necessary for conducting
business in Bangladesh, including the Companies Act 1994,
Partnership Act 1932, Negotiable Instruments Act, 1881,
the Bangladesh Labor Act, 2006. Appreciate how Alternative
Dispute Resolution can be applied to deliver fast, just, and low-
cost resolution.
6. Acquire problem solving techniques and to be able to present
coherent and concise legal augment.

Several approaches may be used in class during teaching, such as video
presentation, case study, group discussion, guest lecture and student
presentation. Students will use the text, case studies, journals, articles, research
material, and handouts to apply the lesson learned to business situations. You are
encouraged to actively participate in all aspects of the class and make
contributions.

The final grade will be a percentage of the accumulation of all points received
over the course as follow (eg: your earned points/total points) 100

100%-93%=A 79%-77%=C+ 60%-66%=D


92%-90%=A- 76%-73%=C 60% or less =F
89%-87%=B+ 72%-70%=C-
86%-83%=B 69%-67%=D+
82%-80%=B-

Note: This assigned percentage letter grade may be altered at the instructor’s
discretion

CLASSROOM RULES OF CONDUCT

1. Cellular phones should be “turned off’/“Silent mode” during the class.


2. Academic Integrity Policy:
Academic dishonesty of any type will not be tolerated. This includes, but is not
limited to, plagiarism (copying others work and representing it as our own—in part
or in total— without tile appropriate citations) and copying other’s responses during
the exams. In addition, classroom professionalism is always to be maintained. This
means that when the instructor is speaking or when Students are presenting their
ideas the classroom should he silent. With the exception at invited questions. As in
any academic environment questions are welcome, but informal chatter or
communication among class members becomes a distraction for all those in
attendance and will not be tolerated. No communication with other students will be
allowed when exams are being conducted. The ‘no talking’ requirement is enforced
during the exam and continues until all students have handed their exam scripts to
the instructor. Any talking during the exam will disqualify you from taking the
exam. It is my expectation that your academic work for the course will be
performed without resorting to cheating, plagiarism, lying, and/or bribery. Any
student engaging in any of these behaviors will be subject to discipline and dealt
according to North South University's student code of conduct.

EXAMS, QUIZ & MAKE UP POLICY

Time bound exams will be a taken combining short and broad questions. Exam will have
oral components. The exams must be taken at the scheduled times. Make up exams
may not be taken unless substantial justifications exist, and permission is
given by the instructor having considered appropriate evidence supplied by
the students.

GROUP ASSIGNMENT (THERE SHOULD BE 5 TO 8 MEMBERS IN A GROUP). DEPENDING ON


THE TOPIC & AS PER THE DISCRETION OF THE FACULTY INDIVIDUAL ASSIGNMENT MAY ALSO
BE GIVEN
Your assignment/project details will be announced in the class. You must submit your
project on the announced due dates. In addition, at the end of the semester, you may
have to present it orally for final grade.

LATE SUBMISSION OF ASSIGNMENT /PROJECT


You must submit your assigned work(s) on due date(s). Unless there are substantial
justifications demonstrable by evidence, late assignment will not be accepted and
marked.

ATTENDANCE POLICY

To foster a collaborative learning experience where shared student participation is


important, attendance is critical. We recognize situations may develop where you may
miss class due to illness, unique family considerations. In such a case, you are still
responsible to ensure your assignments are submitted on time and that you know the
information covered in that session. Arriving late for class is unprofessional that may
detract your fellow students from optimum learning experience. Consistent tardiness will
have adverse consequences to your grades.

COURSE ADJUSTMENTS

Instructor reserves the right to adjust the course requirements consistent with the
course’s overall objectives. Total course workload and available time will be considered
in any such adjustments. You will be notified at the earliest possible time if changes are
made.

Communication Policy

Instructor will use his email to communicate students. Students are responsible to check
their emails (NSU email) regularly. Students must use their NSU email for all
communication with the instructor. Personal email may not be responded.

APPROPRIATE USE POLICY

All members of the North South University community must use electronic
communications in a responsible manner. The University may restrict the use of its
computers and network systems for electronic communications subject to violations of
university policies/codes or local laws or national laws. Also, the university reserves the
right to limit access to its networks through university-owned or other computers, and to
remove or limit access to material posted on university-owned computers.
