Memorandum of Understanding (MoU)

This MoU has been signed on 9th December, 2024 at IIT Kanpur, KanpurNagar
(U.P.)

Between

Mr. Manoj Yadav


And

The Dramatics Club under Media and Cultural Council of Students' Gymkhana, IIT Kanpur,
represented by Prof Tajdarul Hassan Syed in his capacity as Associate Dean of Student
Activities, having its ofNice at IIT Campus, IIT Kanpur, Kalyanpur, Kanpur-208016

Whereas, the Students' Gymkhana is the student’s governance organisation of IIT Kanpur
established in 1962. The Gymkhana seeks to cultivate leadership qualities amongst
students to foster a corporate life and advance the general cause of the institute's student
body.

And whereas, Dramatics Club of IIT Kanpur, marks an eruption of cultural Nlair and
creative exuberance with activities ranging across domains of Nukkad Natak, Stage-plays,
Mimes and Mono acts.

And whereas, the Dramatics Club would be organizing a Theatre Workshop for the year
2024.

And whereas, the individual of the Nirst part has agreed to mentor the program as
provided by the Dramatics Club.

IN CONSIDERATION OF THEIR RESPECTIVE OBLIGATIONS, COVENANTS, RIGHTS,


AND WARRANTIES AND REPRESENTATIONS HEREIN CONTAINED, IT IS AGREED BY
AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

MOU:
A 10 days-long workshop is to be conducted from 13th December, 2024 to 22nd
December, 2024 through which Mr. Manoj Yadav will provide Dramatics Club, IIT
Kanpur. Towards this, Mr. Manoj Yadav will be paid an amount of ₹20,000 only by
Dramatics Club, IIT Kanpur

The Objectives of this MoU is to provide and facilitate a framework of cooperation


between the Parties for the Program to achieve the followings

To provide a formal basis for interaction between Dramatics Club and individual of 7irst part

B) Scope of MoU:

1. The scope of the MoU would be limited to the Dramatics Club IIT Kanpur only.

2. That the deliverables from the side of Dramatics Club, IIT Kanpur be
as providedin Schedule-A.

3. That the deliverables from the artist (Mr. Manoj Yadav) would be as
provided in Schedule-B

4. The Payment Details are provided in Schedule-C

C) Terms and conditions of the MoU:

1. Period- This MoU will remain valid till 22nd January, 2025, beyond which
no queries or dispute regarding or pertaining to this MoU would be
entertained.

2. That Dramatics Club and the individual both shall be bound to ensure and
make available their respective deliverables as detailed in Schedule-A and
Schedule-B of this MoU.

3. That all complaints and disputes regarding branding or other issues relating
to association between the second party and Event organiser would be Nirst
considered by the committee consisting of the council head/Faculty
counsellor.

4. That deletion of any existing deliverable(s) or addition of any new


deliverable(s) shall be done with mutual consent under signatures of both
the parties.

5. It is imperative that none from the artist’s side would directly contact the
Dean of Students’ Affairs, instead, the artist is to contact the above
mentioned committee only.

D) ConQidentiality:
1) It is relevant to explain that the information of the program as identiNied by
the Dramatics Club for the purpose shall not contravene the provisions of
this clause.

2) ConNidential Information includes all communication of information/ ideas


disclosed/derived in documentary or tangible form between the Parties,
including oral, written and machine-readable form. In the case of such
information disclosed orally or visually, the Disclosing Party shall conNirm in
writing the fact and general nature of each disclosure within (30) days after
it is made. The party disclosing the ConNidential Information shall be
referred to as the Disclosing Party. The Party receiving the ConNidential
Information shall be referred to as the Receiving Party.

3) ConNidential Information includes the information:


a) Disclosed by or on behalf of the Disclosing party
to theReceiving party,

b) Otherwise learned or ascertained by the Receiving Party from


inspection and/or evaluation of sample(s) identiNied by the
Disclosing Party as conNidential and provided to the Receiving
Party by or on behalf of the Disclosing Party (sample(s)) and/or,
otherwise learned or ascertained by the Receiving Party from the
Disclosing Party.
c) The Receiving Party will not disclose conNidential information of
the Disclosing Party to any other person and use at least the same
degree of care to maintain the Information conNidential as
Receiving Party uses in maintaining as conNidential its own
conNidential Information, but always at least a reasonable degree of
care; due diligence will be taken by both the Parties in maintenance
of conNidential information.

d) The Receiving Party will use the conNidential information


only forthe purpose.

e) The Receiving Party will restrict disclosure of the conNidential


information of the Disclosing Party solely to those employees,
subsidiaries, parent and afNiliated companies of Receiving Party
having a need to know such Information in order to accomplish the
purpose stated above.

f) This MoU imposes no obligations on Receiving Party with respect


to any portion of the conNidential information received from
Disclosing Party which:

i. was known to Receiving Party prior to


disclosure byDisclosing Party;
ii. is lawfully obtained by Receiving Party from a
third partyunder no obligation of conNidentiality;

iii. is or becomes generally known or publicly


available otherthan by unauthorized disclosure;

iv. is independently developed by Receiving Party;

v. is disclosed by Disclosing Party to a third party


without aduty of conNidentiality on the third party;

vi. is required by law.


g) The conNidential information shall remain the sole property
of theDisclosing Party.
h) The obligation of non-disclosure of conNidential information shall
survive for 3 years after expiry/ termination of this MoU.

E) Dispute settlement:

1. In case, there is a dispute relating to any aspect of cooperation,


or anydisagreement arising out of the application, interpretation
or

implementation of this MoU, both the parties shall endeavour to exercise best efforts to
negotiate their differences in a spirit of independence, mutual respect, and
shared responsibility.

2. Any disputes, whatsoever, shall, if not settled mutually, be referred to a sole


arbitrator appointed mutually by the parties, failing which the parties may
nominate one arbitrator each who shall appoint an umpire in this regard. The
decision of the umpire shall be acceptable to both the parties.

F) Termination:

This MoU may be terminated by either party by serving 30 days advance notice to the other
Party, however the obligations and commitments created during the existence of
this MoU shall not affected due to such termination.

Force Majeure:

Neither Party shall be liable for any failure or delay on its part in performing its obligations
under this MoU if such failure or delay is due to Force Majeure conditions (such as
riots, lockouts, Nloods, war, government regulations including pandemic or forced
lockdown, Act of God etc.) in whole or in part makes it impossible for the other party
to perform its obligations under this MoU.

G) Jurisdiction:

All disputes shall be subject to the jurisdiction of courts situated at Kanpur Nagar district only.

In witness whereof, the parties hereto have offered their signature from the date
mentioned above.

Schedule-A

The Deliverables from Dramatics Club, IIT Kanpur are as follows:

• We will be paying the workshop fee of ₹20,000 and payment will be made after
the completion of the workshop.

• We will be providing the accommodation for the individual(s).

• We will be booking Nlight tickets from Mumbai to Lucknow, for the


individual and also for the return journey, from Lucknow to Mumbai. We will
also cover for cab services from Lucknow to Kanpur and vice-versa.

• NO other charges and services will be covered by Dramatics Club, IIT Kanpur and
is soleresponsibility of the individual.

Schedule-B

The deliverables from the individual (Mr. Manoj Yadav) are as follows:

• The individual shall organise acting workshop which will improve the annual
stage-play production of the club, meant to compete in InterIIT Cultural Meet
7.0.

• The individual shall direct a Stage-play with Ninal performance at the end of workshop.

• The individual shall give time commitment for each day of the workshop.
